| Chris' practice is primarily focused on mergers and acquisitions, private equity and general corporate matters, where he represents private and public companies in mergers, stock and asset acquisitions and dispositions. He also counsels clients with respect to seed and early-stage private securities transactions. Chris has represented numerous companies in the healthcare, transportation and manufacturing industries.
Chris' recent representative transactions include counseling on acquisitions in the health care, gaming, transportation and manufacturing industries. Chris also works extensively with private equity, venture capital and early round investors. |

Representative Matters | | Represented KSL Capital Partners, LLC as the purchaser in its $130 million acquisition of the Royal Palm Hotel located in Miami Beach, FL, including $90 million of seller financing. Brownstein also negotiated the purchase and sale agreement and seller financing documents, completed due diligence and closed the acquisition in less than 60 days. | | Represented certain subsidiaries of Western Athletic Clubs, Inc., as the borrowers, in negotiating and closing a $9 million credit facility with the U.S. Bank National Association. | | Assisted Western Athletic Clubs reorganize its corporate structure through internal corporate mergers. | | Represented BroadHop, a computer hardware and software company based in Denver, in obtaining venture capital financing from Boulder Ventures and Peninsula Ventures. | | Represented the borrower, a subsidiary of Western Athletic Clubs, Inc., in negotiating and closing a $27 million credit facility with the U.S. Bank National Association. | | view all >> |
