David A. Rontal

David represents private companies, private equity and venture capital funds, family offices, sponsors and entrepreneurs in various transactions, with a focus on middle market mergers and acquisitions and capital formation. David has advised clients and completed transactions in a variety of industries, including upstream and downstream oil and gas transactions, clean technology, consumer products, cloud computing, and aerospace.

In addition to his mergers and acquisitions practice, David serves as outside general counsel to numerous venture-backed start-ups and private companies, including Denver-based UrgentRx, a manufacturer of credit card sized packets for fast acting medication.

In January of 2009, David was appointed as General Counsel of the Colorado Mountain Bike Association (CoMBA) and currently serves as outside corporate counsel to the International Mountain Bicycling Association (IMBA).

In addition to his work at Brownstein, David is actively involved with local and national political campaigns.

Prior to joining the firm, David was an associate at Sherman & Howard in Denver.

Assisted Red Sky Resources in their fund formation for equity raise for an oil and gas fund for investments in Oklahoma and Kansas.
Represented PAS Technologies Inc. in a squeeze-out merger of PAS Tech Holdings, Inc. and recapitalization by KRG Capital Partners, AlpInvest and Pennant Park, with simultaneous restructure of syndicated senior credit facility, conversion of subordinated debt to equity and equity capital infusion.
Represented AssociationVoice, Inc. in its sale to K1 Capital Partners, a Los Angeles-based private equity fund.
Represented Silver Airways Corp. in add-on financing from Victory Park Capital.
Represented Breakthrough Products, Inc. in their $3 million Series B equity financing.
