Ellen Schulhofer

Ellen is the Managing Partner of the Las Vegas office and a member of the Firm’s Executive Committee. She is primarily responsible for the Corporate & Business Group in Nevada.

Ellen assists clients in a broad range of corporate and general business transactions. She represents public and privately-held companies, investment banks and private equity funds as Nevada counsel in public offerings, private financings, mergers and acquisitions, restructurings and other sophisticated transactions involving both gaming and non-gaming clients. Ellen also provides advice on corporate governance and other matters to boards of directors and special committees of public and private companies. 

Ellen has been involved with debt and equity offerings involving such issuers as Wynn Resorts, Caesars Entertainment (formerly Harrah’s Entertainment), Hard Rock Hotel, Station Casinos, AutoZone, Reddy Ice Group, Dole Food Company and Interactive Network/FriendFinder Networks. She has also represented gaming and non-gaming borrowers and guarantors, as well as lenders, in Nevada in credit facilities involving those entities listed above as well as Petroleum Development Corporation, Herbalife International, PaperlinX North America, Landry’s Restaurants, M Resorts/Bank of Scotland and Cott Corporation. 

Ellen's M&A experience includes transactions involving Southwest Airlines/Air Tran, Tenet Healthcare/Community Health Systems, IBM Corporation/Trirega, Inc., Sierra Health/United Healthcare, Harrah’s Entertainment/Planet Hollywood, Ruffin Acquisitions/Treasure Island, Fertitta Colony/Station Casinos, Apollo-TPG/Harrah’s Entertainment and Global Cash Access/Western Money Systems.

Representative Matters

Served as Nevada counsel and issued Exhibit 5 and local counsel opinions in connection with universal shelf registration and high yield debt offering of $200,000,000 principal amount of 12.5% Senior Notes due 2019 issued and sold by Thompson Creek Metals Company Inc. and guaranteed by its subsidiaries, including Nevada guarantors.
Assisted Ameristar Casinos, Inc. and its Nevada subsidiaries as special Nevada counsel and gaming counsel in connection with the private placement of $240,000,000 aggregate principal amount of 7.50% Senior Notes due 2021.
Acted as Nevada gaming and corporate counsel to Fertitta Entertainment LLC and certain of its subsidiaries, and issued a legal opinion in connection with a secured revolving credit facility.
Assisted AutoZone, Inc. as special Nevada counsel in connection with the registration and issuance of $500,000,000 aggregate principal amount of 3.700% Notes due 2022.
Assisted Landry's, Inc. and certain of its subsidiaries as Nevada corporate and gaming counsel, and issued opinions to the agents and lenders, in connection with a new $1,200,000,000 term and revolving loan facility.  Brownstein also assisted with the issue and sale of $425,000,000 of Landry's 9.375% Senior Notes due 2020.
