| Jennifer counsels gaming clients on corporate and regulatory matters, focusing on the licensing aspects of deal structures and transactions, mergers and acquisitions, reorganizations, and public finance. She has spent her entire career in gaming, first as in-house counsel for an Indian casino and now as an adviser to the premier public and private gaming companies in the United States.
Jennifer has developed a unique multi-jurisdictional gaming practice, assisting clients with casino operations in numerous U.S. states, advising investors in gaming companies that hold licenses worldwide, and facilitating negotiations with Indian gaming operators. She represents investment management firms and their portfolio companies in obtaining regulatory approval to hold shares in publicly traded gaming companies, and advises clients on the necessary structure and licensure for transactions involving casino gaming, gaming manufacturing, cash access products, and Indian gaming.
Jennifer is a trustee for the Discovery Children’s Museum in Las Vegas, and has been a Director of the Indian Law Section of the State Bar of Wisconsin for the last 9 years, including three consecutive terms as the Chair of the Section. She has published articles on Indian law and employment rights in the Marquette Law Journal, the Wisconsin Women’s Law Journal, and the Illinois Bar Journal, and most recently authored a book chapter on Emerging Issues in Tribal-State Relations in the 2011 edition of Inside the Minds, published by Aspatore Books. Jennifer received her J.D. from the University of Wisconsin School of Law, where she graduated cum laude and her B.A. from Indiana University, where she graduated with honors. |

Representative Matters | | Represent Tropicana Entertainment Inc. in all Nevada gaming licensure and regulatory matters. Brownstein handles amendments to Tropicana's order of registration and the preparing and filing of gaming license applications, as well as assists gaming compliance personnel with ongoing regulatory issues. | | Represent an international asset management firm in obtaining regulatory approval in 38 states for the company to beneficially hold shares in 10 publicly-traded gaming companies. These approvals, which included applications for certification as an institutional investor in casinos, gaming manufacturers, gaming distributors and gaming suppliers, enabled the company and its affiliates and subsidiaries to passively invest in publicly-traded gaming companies. | | Represented Icahn Enterprises and Carl Icahn in obtaining regulatory approval in Nevada, New Jersey, Louisiana, Mississippi and Indiana to become the majority shareholder and controlling beneficial owner of Tropicana Entertainment Inc. These approvals, which included findings of suitability for 10 Icahn principals and 15 Icahn subsidiaries, enabled Tropicana Entertainment to emerge from bankruptcy. | | Represent a Nevada Indian tribe in the development of a 200 MW concentrated solar project in southern Nevada. Our representation includes the negotiation of lease and other agreements with a large renewable energy developer, development of water rights for the project, negotiation with the U.S. Bureau of Indian Affairs and other federal agencies, and guiding the tribe through the NEPA process. | | Represent a Nevada Indian tribe in the development of a large cement plant in southern Nevada.
