Background

Successful track-record of structuring and negotiating complex financing arrangements for both lenders and borrowers.  

Jay Spader leads the firm's Corporate & Business Department. He represents first- and second-lien senior lenders, mezzanine investors and private equity sponsors in senior debt, mezzanine and private equity financing arrangements. His practice includes a wide range of cash-flow and asset-based credit facilities as well as mezzanine financings. 

Recognized by Chambers USA as a “Notable Practitioner” in the banking and finance space, clients rely on Jay for practical and dependable advice on deal terms and transaction structure. 

Focused on the middle market, Brownstein 's finance team handles a large volume of complex financing transactions, giving them the experience to navigate business and legal complexities of debt financing transactions. 

Prior to Brownstein, Jay worked in the finance group Paul Weiss Rifkind Wharton & Garrison (NYC) and prior to that at Milbank (NYC).

Lender Representations

  • Represented U.S. Bank as the lead lender in a $100 million syndicated credit facility for Noodles & Company, a fast-casual restaurant chain.

  • Represented Canadian Imperial Bank of Commerce in a secured credit facility for Profile Capital Management LLC in support of its acquisition of the defense technology companies Phoenix Logistics and Riptide Software.

  • Represented KeyBank National Association, as administrative agent and lender, in a syndicated secured credit facility for SSP MIDCO, LLC, a leading IT services and software development company focused on delivering Esri-based GIS solutions to electric, gas, and water utilities.

  • Represented PNC Bank, National Association in a senior secured revolving credit facility for Power Motive Corporation, a retailer and servicer of construction equipment.

Borrower Representations

  • Represented Full House Resorts, Inc., the owner and operator of casinos and related hospitality and entertainment facilities, in its closing of a $15 million senior secured five-year revolving credit facility which also includes a letter of credit sub-facility.

  • Represented Clarion Capital Partners in its acquisition of and acquisition financing for AML RightSource, LLC, a Gabriel Partners company.
