Matt Kim-Miller

Matt serves clients in public finance and incentive transactions as well as in the areas of real estate and private lending. Matt's broad background in both commercial norms and public requirements allows him to counsel clients by establishing a solid groundwork based on understanding a client’s goals and business, and then creatively structuring and integrating the requirements of a transaction.

Specific to New Mexico, Matt counsels clients on the Local Economic Development Act, industrial revenue bonds, the antidonation clause of the New Mexico Constitution, statutory enablements of and constraints on financing by New Mexico governmental entities, and the Affordable Housing Act, among other issues. Matt's real estate experience has been developed over the past decade, and covers all aspects of real estate deals and litigation: development and entitlements, lending, leasing, construction, joint ventures and real estate syndication entities, acquisitions and dispositions, New Market Tax Credits, Low Income Housing Tax Credits, as well as water and mineral rights. He advises clients regarding zoning changes and appeals, real estate workouts, foreclosures, eminent domain matters and lease disputes. Matt also works extensively with tax increment development districts and public improvement districts, advising on their formation, bonding, elections, and general operations. 

Matt represents a broad array of real estate businesses and property holdings, including residential, industrial, office, retail, utilities, hospitality, hospital and health care. In relation to public finance and governmental transactions,Matt acts as bond counsel, underwriters’ counsel and disclosure counsel for the issuance of municipal bonds, and advises both governmental entities and companies in various incentive transactions.

Prior to joining the firm, Matt was an associate at Barack Ferrazzano Kirschbaum & Nagelberg in Chicago and prior to that, he was an associate at Paul Hastings Janofsky & Walker in Orange County, California. During law school, he was a legal intern for The Honorable Jon P. Wilcox of the Wisconsin Supreme Court and for The Honorable Edward E. Leineweber of the Wisconsin Circuit Court for Richland County.

Representative Matters

Represented Daniels Family Funeral Services in connection with the sale of a portion of their assets consisting of real and personal property.
Represented Atria Senior Living Group Inc. in a deal to merge its real estate interests with the Ventas Inc. real estate investment trust. Brownstein's representation included the analysis of and advice concerning state and local licensing requirements for assisted living and senior living facilities in Colorado, Utah, New Mexico and Nevada; a legal opinion regarding certain transactions affecting facilities in New Mexico; and research and preparation of applications for several ancillary licenses in some of the states, including interfacing with state health officials.
