Neil M. Goff

Neil is Co-Chair of the firm's Tax Group. His practice includes tax litigation, public finance, real estate and mergers and acquisitions.

Neil's extensive experience with the Internal Revenue Service at the appellate and district counsel levels makes him a valuable asset in tax matters. He has represented a great variety of clients before the United States Tax Court and has testified on behalf of clients as an expert witness. Neil is a licensed certified public accountant in Colorado and Alaska and is admitted in several state and federal courts.

Representative Matters

Represented Riviera Holdings Corporation, a Las Vegas casino operator, in negotiating the terms of the $76 million sale of its Riviera Black Hawk casino in Colorado to an affiliate of Monarch Casino & Resort, Inc. The transaction was structured as a sale of 100% of the common stock of the Riviera subsidiary operating the Black Hawk casino. The parties expect to close the transaction before the end of the second quarter of 2012.
Represented Airborne Tactical Advantage Company, LLC, a flight training provider to the United States military, in connection with a debt and equity recapitalization.
Served as counsel to seller, Pioneer Investment Company, LLP, in connection with its multi-million dollar sale of a multi-tenant office building and real property located at 5675 DTC Boulevard in the Denver Tech Center in Colorado.

Represented Four S Holdings LLC, a portfolio company of The Decatur Group and the largest franchisee of Sola Salons, in its recapitalization in partnership with John Chidsey, former Chairman and CEO of Burger King Corporation.

Served as counsel to The Capital Center LLC in connection with its investment in preferred equity in Capital Center Associates LLC joint venture effective as of April 11, 2011.
