Rikard D. Lundberg

Rikard's practice focuses on counseling public and private companies with respect to state and federal securities laws, including all aspects of securities registration and reporting under the Securities Act of 1933 and the Securities and Exchange Act of 1934.

Rikard also represents private and public companies in a broad range of transactions including mergers and acquisitions, public and private securities offerings, equity and debt financings, corporate contracting and general commercial and corporate matters. Further, he provides advice and counsel regarding business entity formation and maintenance, and represents corporations, limited liability companies and other business entities in all stages of development and with respect to all aspects of operations.

Prior to joining the firm, Rikard was a lecturer at the University of Denver, Sturm College of Law, where he taught administrative law and public international law both as a visiting and adjunct professor. From 2002 to 2004, he was an international law associate at Steptoe & Johnson in Washington, DC, where he advised clients on international trade matters before U.S. administrative agencies, U.S. courts and international dispute settlement tribunals. Rikard served five years as a career officer in the Naval Counter Special Operations Forces Company of the Swedish Royal Navy. He speaks Swedish, Danish, Norwegian and German.

Representative Matters

Represented Riviera Holdings Corporation, a Las Vegas casino operator, in negotiating the terms of the $76 million sale of its Riviera Black Hawk casino in Colorado to an affiliate of Monarch Casino & Resort, Inc. The transaction was structured as a sale of 100% of the common stock of the Riviera subsidiary operating the Black Hawk casino. The parties expect to close the transaction before the end of the second quarter of 2012.
Assisted Pinnacle Entertainment, Inc. (NYSE: PNK), a casino operator, in conducting a value-for-value option exchange program where eligible employees could exchange certain ‘underwater’ options to purchase common stock for new options covering a lesser number of shares of common stock. The exchange offer expired in September 2011 and achieved 100% participation.

Represented Spyglass Capital Partners, LLC in its convertible debt and equity investment in Shadow Beverages and Snacks, an Arizona limited liability company, which manufactures private label beverages.

Assisted Pinnacle Entertainment, Inc. (NYSE: PNK), a casino operator, in registering a unique ongoing public offering of shares of common stock to customers under a customer loyalty program. The Securities and Exchange Commission declared the offering’s registration statement on Form S-3 effective in July 2011. Brownstein believes this offering is only the second such registered offering becoming effective.
Represented a NASDAQ-traded public company in a $40 million management-led going private merger transaction.
