| Rebecca brings extensive experience and seasoned negotiation skills to our Bankruptcy & Restructuring and Corporate & Business groups. Years of experience representing financial institutions, special servicers and other creditors from cradle-to-grave in commercial lending transactions, workouts and bankruptcies allow Rebecca to provide excellent service to her clients.
Rebecca's background ranges from acting as disclosure counsel in public bond financings to representing banks and other financial institutions in negotiating, documenting and closing secured loan transactions, forbearance agreements, voluntary liquidations, restructuring real estate projects both in and out of court, and representing creditors in assignments for the benefit of creditors. Additionally, she advises clients in all facets of bankruptcy, including debtor in possession and exit financing, use of cash collateral, lift stay proceedings and plan treatment in complex Chapter 11 bankruptcies, and defending against nonconsensual plans and charging liens.
Rebecca has represented numerous purchasers of distressed assets, both in and out of court, as well as a variety of unsecured creditors, including real estate developers, investment trusts and franchisors in a diverse array of matters, and advises and represents indenture trustees and bondholders in bankruptcies involving high-yield securities. She further has hands-on experience representing municipalities in matters involving Chapter 9 and advises on the interplay between the Bankruptcy Code and the restructuring of tax-exempt bonds.
A frequent speaker on bankruptcy-related topics involving municipal bond defaults, distressed real estate, loan restructuring, and employment issues, Rebecca has presented to organizations including the Bond Buyer, the Commercial Finance Association, the Turnaround Managers Association, the Beverly Hills Bar Association and the national meetings of several financial institutions. She has also authored or co-authored numerous materials and articles, including “Creditor Rights and Remedies in Municipal Bond Defaults,” “Workouts and Modifications, Deeds in Lieu of Foreclosure and Related Bankruptcy Issues,” and “Navigating Your Way Through the Minefield of the Bankruptcy Reform Act of 2005: A Guide for Commercial Lenders When Their Borrowers File for Bankruptcy.”
Prior to joining Brownstein, Rebecca was Of Counsel at Ballard Spahr, LLP in Los Angeles.
