In his corporate practice, Patrick Berry helps his clients navigate legal issues without sacrificing broader business goals. He has experience representing private equity funds, entrepreneurs, private companies and family offices spanning sizes and industries in a range of transactions, including buy-side and sell-side mergers and acquisitions, leveraged buyouts, control and minority investments, equity financings, add-on and follow-on investments, and corporate restructurings. With a comprehensive approach, Patrick has built a reputation for knowing pressure points and deeply understanding his clients’ business needs. 

In particular, his work has included private middle-market mergers and acquisitions, joint ventures and partnerships, and he has served in an outside corporate counsel role for clients in various industries, including technology, consumer products, professional services and hospitality. Patrick also has experience navigating complex and sensitive matters and transactions for his corporate clients, from distressed asset sales to partnership disputes and dissolutions.  

Most recently, Patrick was at Partners Group, one of the largest publicly-listed private equity firms in the world, where he gained experience forming and structuring bespoke investment vehicles for institutional investors, sovereign wealth funds, family offices and private investors.

Representative Matters

Mergers & Acquisitions

  • Represented Rinchem Company, Inc., a specialty warehousing and logistics company with a global network of chemical and gas logistics capabilities, in its sale to Stonepeak, an alternative investment firm specializing in infrastructure and real assets.

  • Represented Vail Resorts Inc. in its $125 million acquisition of Seven Springs Mountain Resort and Hidden Valley Resort, as well as the operations of the Laurel Mountain Ski Area.

  • Represented Betworks Corporation, a sports betting platform provider to operators in New Jersey, Iowa, Indiana and Colorado, in its $125 million sale to Bally's Corporation, a gaming and interactive entertainment company, in a transaction that was structured as a merger.

  • Represented Rallyday Partners, a Denver-based private equity firm, in its majority investment in Livefront, a digital product consulting firm. The investment is Rallyday’s first from its $205 million second fund.

Equity Financings, Minority Investments and Fund Matters

  • Represented Evermore Partners in the formation of a real estate investment fund and establishment of its first investment vehicle.

  • Represented Vegas.com, a direct-to-consumer e-tailer of show tickets in Las Vegas in its minority equity investment from TZP Capital.

Outside Corporate Counsel

  • Serves as outside corporate counsel to the Caring for Denver Foundation, a Colorado-based nonprofit organization formed pursuant to a ballot initiative to address mental health and substance abuse issues throughout Denver.

  • Serves as outside corporate counsel to Peak Ski Company, a manufacturer of high quality alpine skis based in Bozeman, Montana.
