Ali

Ali Fidler Metzl is a corporate attorney who specializes in middle market M&A transactions, with an emphasis on consumer products.

Ali represents private equity funds, other financial sponsors and their portfolio companies as well as entrepreneurs and business owners in a wide variety of business transactions, including mergers, acquisitions, follow-on investments, internal reorganizations, divestitures, minority investments, equity financings, corporate governance advice and management equity arrangements. She works with companies of various sizes across a range of industries. Ali combines her attention to detail and responsiveness with precise execution and a genuine enthusiasm for and sensitivity to the needs of the companies and clients she represents.

In 2014, Ali founded and currently serves as co-chair of the firm’s Women’s Leadership Initiative (WLI). The WLI seeks to develop female attorneys and policy professionals into leaders in their respective practice groups, the firm, the communities in which they live and the larger legal and lobbying professions. Ali also founded and chairs the firm’s Gender Diversity Task Force and since 2016, the summer associate committee.

Prior to joining the firm, Ali was an associate in the corporate department of Kirkland & Ellis, LLP in New York.

Mergers & Acquisitions

Ali’s representative matters include mergers and acquisitions for private equity funds, their portfolio companies and founder-backed companies across a range of industries, including consumer products and hospitality. Among other recent transactions, she assisted Sweet Earth, Inc. in its sale to Nestlé USA, Inc. and Encore Consumer Capital in its disposition of Thanasi Foods, its acquisition of Fantasy Cookie Corporation as well as its separate acquisition of Mesa Foods.  Working with a team from Brownstein’s Corporate & Business Department, she also represented KSL Capital Partners in the sale of five iconic resort properties in various states nationwide.

Ali often serves as outside general counsel to middle market companies, and is a trusted advisor to businesses across various industries, with an expertise in the consumer products industry. Operating in this capacity, she provides advice on a variety of needs including mergers & acquisitions, corporate governance, business management, management equity arrangements, commercial matters and strategic financings.

  • Represented ART Capital LLC in its acquisition of Pebble Technology, Incorporated, a manufacturer and supplier of pool finishes, pool enhancements and other outdoor environment products.

  • Represented Tuff Shed, Inc. in the sale of certain assets to Backyard Products, LLC.

  • Represented Tuff Shed, Inc. in the acquisition of certain assets of Home Brands, LLC.

  • Represented ART Capital LLC in its acquisition and financing of Outdoor Dimensions, LLC, a full-service provider of signage and outdoor marketing solutions based in Southern California.

  • Represented ART Capital LLC in its acquisition and financing of Andersen Commercial Plumbing, LLC, a commercial plumbing business in Southern California.

  • Represented VetScience LLC and its Fruitables brand of natural dog treats and food supplements in its sale to Manna Pro Products, LLC.

  • Represented Old Belden Hill, Inc. in the purchase of all of the capital stock in Lone Buffalo, Inc., a provider of custom news monitoring services.

  • Represented the stockholders of Sweet Earth Inc., a California-based manufacturer of plant-based protein food products, in the sale of all of the issued and outstanding equity interests and owned real property to Nestlé USA, Inc.

  • Represented EMS USA, Inc., a portfolio company of Victory Park Capital and provider of pipeline integrity, maintenance and repair services, in the sale of its Integrity Maintenance platform to First Reserve Advisors.

  • Represented the owners of Thanasi Foods, marketer of the Duke’s® and BIGS® snack brands, to Conagra Brands, one of North America’s leading branded food companies.

  • Represented RAS & Associates, LLC in the sale of substantially all of the company’s assets and certain liabilities relating to the company’s business of providing strategy, management, operations, performance improvement and business consulting services.

  • Represented Boulder Ventures and its affiliated investor group in a Series A preferred stock investment in Black Bear Energy, Inc.

  • Represented Mesa Foods and its largest owner, Encore Consumer Capital, in the sale of Mesa Foods, a leading producer of high quality tortillas, flatbreads and taco shells, to Teasdale Foods, a leading provider of private label and branded beans, hominy, peppers, sauces, corn products and seasoning products.

  • Represented Stryker Sonoma Winery, LLC and Stryker Sonoma Vineyards, LLC, producers of high quality wine varietals in the Alexander Valley, in the sale of substantially all of their assets to Foley Family Wines, Inc., an emerging wine company with a focus towards collecting artisan and premium wineries, brands and vineyards.

  • Represented Encore Consumer Capital, LP in the sale of its portfolio company, FreshKO Produce Services, Inc., a distributor of high-quality fresh produce throughout central and northern California, to C&S Wholesale Grocers, Inc., the largest wholesale grocery supply company in the United States.

  • Represented Encore Consumer Capital in its acquisition of Fantasy Cookie Corporation, a leading private label and contract manufacturer of premium, innovative cookie products.

  • Represented Alerion Capital Group in Series A-1 Senior Convertible Preferred investment in Isonas, Inc.

  • Represented Workforce Insight, Inc. through the robust auction process through and including consummation of a sale of a majority of the issued and outstanding equity interests to an affiliate of Baird Capital Partners with the founders retaining an ongoing minority interest.

  • Represented DigitalGlobe in its acquisition of Spatial Energy, a leading source for digital imagery and related services to the energy industry.

  • Represented Encore Consumer Capital and other owners in the sale of Zuke’s LLC to Nestlé Purina PetCare Company.

  • Represented Encore Consumer Capital, a private equity firm built to help consumer products companies grow, in its acquisition of Mesa Foods, a producer, manufacturer and distributor of corn and flour products for restaurants, grocery stores, national accounts, food service and private labels. Mesa Foods is headquartered in Louisville, KY.

  • Represented KSL Capital Partners in the sale of five iconic resort properties to TRT Holdings, owner of Omni Hotels & Resorts in a series of five related transactions. The properties that were included in the sale are Barton Creek Resort & Spa in Austin, Texas; La Costa Resort & Spa in Carlsbad, California, Rancho Las Palmas Resort & Spa in Rancho Mirage, California; Grove Park Inn in Asheville, North Carolina; and The Homestead Resort in Hot Springs, Virginia. Brownstein acted as lead counsel on the transaction facilitating the buyer's due diligence review of the properties and the resorts, the negotiation of five separate purchase agreements, and completion of all closing conditions.

  • Represented Kwik Tek, Inc., a leading designer and distributor of branded marine sporting goods and accessories, in its recently announced recapitalization by Guardian Capital Partners. Kwik Tek is the market leader in towables and inflatables. Its product line also includes wakeboards, water skis, kneeboards, life jackets, waterproof cases, protective fenders, and tow ropes. The company's products are marketed through marine distributors, mass retailers, and sporting goods and outdoor chains, under the brands Airhead and Sportsstuff.
