If there is a marquee project happening in Las Vegas, the odds are high that Angela Otto has a substantial role in it. Few lawyers in Nevada, or across the country, have more experience managing the real estate components of large-scale hospitality and gaming transactions. Angela’s background in corporate and real estate law makes her a powerhouse attorney with brands such as Caesars Entertainment, MGM and Wynn Resorts relying on her legal counsel. 

Angela also advises clients on other major commercial real estate, development and finance projects. She played a pivotal role as Nevada counsel to the Clark County Stadium Authority in the development of the $1.9 billion Raiders' Allegiant Stadium. Angela also represented the City of Henderson in the sale and development of the Las Vegas Raiders’ team headquarters and practice facility. Clients seek out her general commercial counsel when looking to acquire or dispose of hotels, other businesses and/or real property, develop or lease real property or obtain financing.

Invested in making the Las Vegas community a better place to live, Angela dedicates significant time to volunteering. She represented the Smith Center for the Performing Arts in its development, lease and operating agreements with the City of Las Vegas on a pro bono basis and serves on its president’s advisory council. She was recognized by HELP of Southern Nevada for her work leading a pro bono team of 15 Brownstein attorneys to develop the Shannon West Homeless Youth Center. 

Additionally, Angela serves on the firm’s Executive Committee. 

Representative Matters

Acquisitions & Dispositions:

  • Represented Apollo Global Management in its $2.25 billion acquisition of the operations of The Venetian Resort and Sands Expo and Convention Center. As part of the transaction, Apollo will lease the real estate assets from VICI Properties.

  • Advised MGM Resorts International on its $1.625 billion acquisition of the operations of The Cosmopolitan of Las Vegas. As part of the transaction, MGM will lease the real estate assets from a partnership among Blackstone Real Estate Income Trust, Stonepeak Partners and Cherng Family Trust.

  • Represented MGM Resorts International in its $825 million sale of Circus Circus Las Vegas and the adjacent 37 acres of festival grounds to an affiliate of Phil Ruffin. The sale is part of MGM’s strategy to streamline its real estate portfolio in an effort to focus on its core businesses.

  • Represented Wynn Resorts in its $336 million acquisition of 38 acres of land located across Las Vegas Boulevard from the Wynn Las Vegas.

Sale Leasebacks:

  • Served as counsel to MGM Resorts International in connection with its $3.9 billion sale to Blackstone Real Estate Income Trust of the Las Vegas real estate assets of the Aria and Vdara Las Vegas Resorts.  Concurrent with the acquisition, MGM Resorts entered into a master lease to lease from Blackstone and operate both properties.

  • In one of the largest single resort sales in Las Vegas history, we counseled MGM Resorts in its $4.2 billion sale of the Bellagio Resort to a joint venture between MGM Resorts and Blackstone Real Estate Income Trust and leaseback to MGM.

  • Nevada counsel to MGM Resorts International and MGM Growth Properties LLC in connection with forming a joint venture with Blackstone Real Estate Income Trust to acquire the Las Vegas real estate assets of the MGM Grand and Mandalay Bay for $4.6 billion. MGM Resorts will continue to operate the properties on a day-to-day basis pursuant to a master lease.

  • Represented Caesars Entertainment Corporation in its $516 million sale of the Rio Hotel and Casino to a company affiliated with Dreamscape Companies, owned and controlled by Eric Birnbaum, and concurrent short-term leaseback of such property.

Development:

  • Nevada counsel to the Las Vegas Stadium Authority with respect to the development of Allegiant Stadium, a $2 billion, 65,000 seat domed stadium that serves as the home of the NFL Las Vegas Raiders football team and the UNLV Rebels football team.

  • Represented the City of Henderson in connection with the sale and development of the Las Vegas Raiders’ team headquarters and practice facility.

  • Real estate counsel to Caesars Entertainment Corporation in connection with its development of the $375 million Caesars Forum Convention Center.
