Stacie Nyborg counsels corporate and individual clients, analyzing risks and achieving their goals on a wide range of legal issues. Her experience with business, venture capital, securities and mergers and acquisitions allows Stacie to maximize her clients’ business objectives. Often operating as outside corporate counsel, she advises on investor financing, corporate governance, contract drafting and negotiations, intellectual property management and tax strategies.

Serving as a trusted legal advisor, Stacie also guides clients on wealth transfer and estate planning matters, including business succession planning, charitable giving and estate and gift tax strategies.

Working with small businesses and sole proprietorships, high net-worth individuals and families and nonprofits, Stacie regularly interfaces with city and state government agencies and regulatory bodies on behalf of clients.

Representative Matters

Outside Corporate Counsel and Governance

  • Serves as outside corporate counsel to companies in various industries including software, construction, biotech and manufacturing doing business nationally and internationally.

  • Counsel to a technology company specializing in online booking for live entertainment on its service contracts and client ticketing agreements.

  • Counseled technology companies regarding compliance with privacy and data management issues, including compliance with the GDPR and CCPA.

  • Counsel to a fashion apparel client on the successful resolution of trademark infringement matters brought by luxury goods company LVMH Moët Hennessy Louis Vuitton, or LVMH.

Financing & Capital Venture

  • Represented a local cannabis startup in connection with its multi-million dollar convertible debt and series stage funding in excess of $40 million.

  • Counseled a biomedical company in connection with its stock structure, initial capital raises and issuance of convertible debt.

Trust & Estate

  • Counsel to several out of state trustees and executors in the successful probate and administration of multi-million dollar local estates.

  • Advise clients on estate planning issues including the creation of family entities, revocable and irrevocable trusts, and other legacy planning strategies.
