Emerging national gaming attorney with in-depth transactional and regulatory experience. Has specialized expertise in growing areas of online gaming, sports betting and Indian gaming. Utilizes corporate background to navigate gaming matters. 

Trayton Oakes brings focus and extensive experience in representing clients in online gaming, sports betting, tribal gaming and other gaming-related commercial arrangements and regulatory matters. He has represented both U.S. brick-and-mortar casinos, and U.S. and foreign online gaming and sports betting operators and platform providers on online gaming, sports betting and sponsorship transactions as well as Indian gaming management and consulting agreements. Trayton has a strong understanding of the emerging legislative and regulatory structures in online gaming and sports betting. He assists clients with understanding and navigating these structures as well as applying for and obtaining gaming licenses and approvals from regulatory bodies.

Prior to focusing on gaming matters, Trayton obtained a diverse background in corporate and joint venture transactional, governance and securities laws matters, including representing both large and start-up public and private company clients in securities offerings and general corporate, regulatory and reporting matters. 

Before joining the firm, Trayton was an honors program intern for the Securities and Exchange Commission. Before law school, Trayton worked for a FINRA registered broker dealer as a Series 7 FINRA licensed registered representative.

Recent Experience

  • Counsel to Boyd Gaming Corporation in its partnership with MGM Resorts to offer online and mobile gaming platforms, including sports betting, casino gaming and poker, in jurisdictions where either Boyd or MGM operate physical casino resorts and online licenses are available.

  • Counsel to Caesars Entertainment in its partnership with DraftKings, a leader in legal online sports betting. The deal gives Caesars an equity stake in DraftKings and provides DraftKings with a path toward future online and mobile licenses through the large network of Caesars casinos.

  • Counsel to Canadian Imperial Bank of Commerce in a revolving and term credit facility for S&S Fuels.

  • Counsel to Boyd Gaming Corporation in a strategic partnership with FanDuel Group to run online and mobile sports betting operations in the U.S.

  • Counsel to NRT Technologies, Inc., a subsidiary of NRT Technology Corp., in its acquisition of gaming ATM assets of U.S. Bank National Association.

  • Counsel to RGS Energy in a $1.8M offering of shares of Class A common stock and pre-funded warrants under an effective registration statement on Form S-3. The company also sold additional warrants in a concurrent private placement.
