Brownstein Attorneys Named In The Legal 500 Private Practice M&A Powerlist

March 15, 2024

The Legal 500 has recognized Brownstein Hyatt Farber Schreck shareholders Albert Kovacs, Charlotte Phelps and Ellen Schulhofer in its 2024 M&A Powerlist. According to the publication, the inaugural list showcases the leading M&A practitioners working across the country.

In matters relating to corporate governance and M&A in Nevada, Kovacs brings an uncommon combination of experience and perspective. He not only knows the law but has also played a substantial role in shaping, and frequently drafting, Nevada corporate and LLC law and policy in recent years, through his work as vice chair of the Executive Committee of the Business Law Section of the State Bar of Nevada. He draws on this insight as well as his extensive corporate law experience to provide guidance to clients on the distinctive aspects of Nevada’s corporate and business laws as they arise in transactions and litigation.

Phelps focuses primarily on representing private equity sponsors, individual founders and strategic companies in complex transactions. She counsels clients on mergers and acquisitions, joint ventures, minority investments and general corporate governance matters. Phelps has wide-ranging industry knowledge, representing clients in consumer products, manufacturing, hospitality, health care and media, among other industries. In addition, she regularly provides general commercial legal advice to clients and makes it a point to understand their day-to-day business operations and objectives.

Schulhofer serves as corporate counsel to public and private companies in Nevada. Handling a broad range of transactional matters including mergers and acquisitions, restructurings, joint ventures and secured and unsecured financings, as well as advising on matters of corporate governance, she is one of Nevada’s top corporate attorneys. Her deep understanding of Nevada corporate, LLC and other business statutes comes from her involvement in drafting them over the last 30 years as a member (and former vice-chair) of the Executive Committee of the Business Law Section of the State Bar of Nevada.
