If there is a marquee project happening in Las Vegas, the odds are high that Angela Otto has a substantial role in it. Few lawyers in Nevada, or across the country, have more experience managing the real estate components of large-scale hospitality and gaming transactions. Angela’s background in real estate and corporate law makes her a powerhouse attorney with high profile players relying on her legal counsel. Angela also advises clients on other major commercial real estate, development and finance projects. She played a pivotal role as Nevada counsel to the Clark County Stadium Authority in the development of the $1.75 billion A’s Las Vegas Ballpark and the $1.9 billion Raiders’ Allegiant Stadium. Clients seek out her general commercial counsel when looking to acquire or dispose of hotels, other businesses and/or real property, develop or lease real property or obtain financing.

Invested in making the Las Vegas community a better place to live, Angela dedicates significant time to volunteering. She represented the Smith Center for the Performing Arts in its development, lease and operating agreements with the City of Las Vegas on a pro bono basis. She was recognized by HELP of Southern Nevada for her work leading a pro bono team of 15 Brownstein attorneys to develop the Shannon West Homeless Youth Center. Additionally, Angela previously served on the firm’s Executive Committee.

Representative Matters

  • Integral in advising Caesars Entertainment, Inc. in the management of its vast real estate portfolio. Over 13 years ago, helped with the complex development of the popular LINQ Promenade which includes retail, dining and entertainment elements as well as the world’s tallest observation wheel at the time of development. The LINQ Promenade has become an iconic part of the Strip’s skyline. When Caesars recently sought to sell this asset, skillfully navigated every aspect of the real estate components of the $275 million disposition to TPG Real Estate and Acadia Realty Trust, including restructuring several aspects of the development. The sale closed in the fourth quarter of 2024.
  • Represented Apollo Global Management in its $2.25 billion acquisition of the operations of The Venetian Resort and Sands Expo and Convention Center. As part of the transaction, Apollo will lease the real estate assets from VICI Properties.
  • Advised MGM Resorts International on its $1.625 billion acquisition of the operations of The Cosmopolitan of Las Vegas. As part of the transaction, MGM will lease the real estate assets from a partnership among Blackstone Real Estate Income Trust, Stonepeak Partners and Cherng Family Trust.
  • Represented MGM Resorts International in its $825 million sale of Circus Circus Las Vegas and the adjacent 37 acres of festival grounds to an affiliate of Phil Ruffin. The sale is part of MGM’s strategy to streamline its real estate portfolio in an effort to focus on its core businesses.
  • Represented Wynn Resorts in its $336 million acquisition of 38 acres of land located across Las Vegas Boulevard from the Wynn Las Vegas.
