More than 20 years of experience leading hotel transactions of all kinds. Former in-house counsel and developer for a leading hospitality company. Experience and insight gained from two decades of sitting at every seat at the negotiating table.

Phil Gosch’s vast experience serving as counsel to clients on hotel and resort transactions and matters of all kinds—acquisition, disposition, finance, management, franchise, investment and development—means that he has encountered and solved virtually all issues that arise during a hotel transaction or matter. Owners, buyers, sellers, borrowers, investors, developers and branded and unbranded managers in the hospitality industry seek his guidance on how best to transact and protect their business and interests. Phil’s experience includes serving as a former executive for Wyndham International, Inc. and in-house legal and business development interim positions for Vail Resorts, Inc.  

With the benefit of these experiences and the sheer volume of deals over the years, Phil is more than an attorney – he is the consummate counselor, advisor and confidant to some of the most prominent players in the hospitality industry. His ability to provide unappalled legal guidance, strategies and direction combined with a deep understanding of the dynamics of the hotel business adds significant value to his clients’ transactions, businesses and successes. 

Outside of the office, Phil is committed to shaping future generations by serving on the board of directors for SOS Outreach, an organization helping kids develop character and leadership skills through programs guided in outdoor experiences. He also currently serves as a guest lecturer at Denver University School of Hotel, Restaurant and Tourism Management.

Recent Experience

  • Represented Alterra Mountain Company in real estate, hospitality and development transactions at ski resorts and related commercial and residential developments in Colorado, Utah, Washington and California, including, among other matters, the potential development of the base area at Deer Valley Resort in Park City, Utah, the sale of unimproved land for a condominium development project in Steamboat Springs, Colorado, and the development of a hotel and other amenities at the base areas of Big Bear Mountain Resort in Big Bear Lake, California and Crystal Mountain Resort in Enumclaw, Washington.

  • Represented Vail Resorts in real estate, hospitality and development transactions and operational matters at ski resorts and related commercial and residential developments in Colorado, Utah and California, including, among other matters, the sale and third party master development of the 10 acres of base area parking lots at Park City Mountain Resort in Park City, Utah, the sale, rebranding and retained management by Vail Resorts of the hotel known as Village at Breckenridge in Breckenridge, Colorado, the sale, rebranding and retained management of the Inn at Keystone located in Summit County, Colorado, and the sale and third party development of a parcel located at Peak 8 in Breckenridge, Colorado.

  • Represented Aimbridge Hospitality in a variety of matters, including the financial investment in the group acquiring the Rio All-Suites Hotel and Casino in Las Vegas, Nevada and claims in the Chapter 11 Bankruptcy of Eagle Hospitality REIT.

  • Represented Dakota Mountain Homeowners Association in connection with the acquisition subsequent disposition and management of the Waldorf Astoria Park City located in Park City, Utah.

  • Represented Somera Capital Management in the acquisition of the management agreements and assets of Quorum Hotels.
