Background

Drawing on a background of securities, business law, trademark law, employment law and legal research, Trayton Oakes brings experience from working for a U.S. Senator to drafting legal research memos and trial documents for the U.S. Securities and Exchange Commission to his securities and corporate finance practice.

Prior to joining Brownstein, Trayton worked as an honors program intern for the Securities and Exchange Commission, a research assistant at the Sturm College of Law and as a legal assistant for a Denver-based small business attorney while in law school. During his time at the Denver firm, he maintained a blog discussing small business issues with a legal focus.

He has also worked as a Series 7 and 63 FINRA licensed securities trader for a subsidiary of New York Life Insurance Co. and served as an assistant to the senior policy advisor and head speechwriter of a U.S. Senator.

Trayton served as a senior staff editor of the Denver University Law Review.

Recent Experience

  • Counsel to Boyd Gaming Corporation in its partnership with MGM Resorts to offer online and mobile gaming platforms, including sports betting, casino gaming and poker, in jurisdictions where either Boyd or MGM operate physical casino resorts and online licenses are available.

  • Counsel to Caesars Entertainment in its partnership with DraftKings, a leader in legal online sports betting. The deal gives Caesars an equity stake in DraftKings and provides DraftKings with a path toward future online and mobile licenses through the large network of Caesars casinos.

  • Counsel to Canadian Imperial Bank of Commerce in a revolving and term credit facility for S&S Fuels.

  • Counsel to Boyd Gaming Corporation in a strategic partnership with FanDuel Group to run online and mobile sports betting operations in the U.S.

  • Counsel to NRT Technologies, Inc., a subsidiary of NRT Technology Corp., in its acquisition of gaming ATM assets of U.S. Bank National Association.

  • Counsel to RGS Energy in a $1.8M offering of shares of Class A common stock and pre-funded warrants under an effective registration statement on Form S-3. The company also sold additional warrants in a concurrent private placement.
