Works extensively with private equity buyers and entrepreneurs on sell-side deals. Solves problems pragmatically. Counsels clients in a broad range of industries. 

Taking a practical approach to craft concise solutions, Charlotte Phelps focuses primarily on representing private equity sponsors, individual founders and strategic companies in complex transactions. She counsels clients on mergers and acquisitions, joint ventures, minority investments and general corporate governance matters. Charlotte has wide-ranging industry knowledge, representing clients in consumer products, manufacturing, hospitality, health care and media, among other industries. In addition, she regularly provides general commercial legal advice to clients and makes it a point to understand their day-to-day business operations and objectives.

She is a member of the firm’s Summer Associate Committee and Committee on Diversity, Inclusion and Equity. Prior to joining Brownstein, Charlotte was an associate in the corporate department of Proskauer Rose LLP in New York.

  • Represented Pala Interactive, LLC, an online gaming technology company that provides proprietary real money and social gaming solutions on both a business-to-business (B2B) and business-to-consumer (B2C) basis, in its sale to Boyd Gaming Corporation. 

  • Represented Genesee Scientific Corporation, a premier distributor and manufacturer of high-quality life science laboratory products to the academic research and industrial life science market, in its acquisition by LLR Partners, a lower middle market private equity firm investing in technology and healthcare businesses.

  • Represented Workforce Insight, a workforce optimization consultancy that provides workforce management and human capital management advisory and technology services, it its sale to Accenture.

  • Represented Canyon Bakehouse, a gluten-free baking company, in its $205M sale to Flower Foods, one of the largest producers of packaged bakery foods in the country.

Private Equity Experience

  • Represented Clarion Capital Partners and its portfolio company Madison Logic, an Account Based Marketing company, in the sale of Madison Logic to BC Partners.

  • Represented Encore Consumer Capital and its portfolio company Brownie Brittle in the sale of Brownie Brittle to Second Nature Brands, a portfolio company of CapVest Partners LLP.

  • Represented Mountaingate Capital and its portfolio company Acceleration Partners, the leading global partnership marketing agency, in the acquisitions of Grovia and Influencer Response/Volt Agency.

  • Advised Encore Consumer Capital and 4505 Meats on the sale of 4505 Meats to Benestar Brands, a portfolio company of Highlander Partners.  

Growth Equity Experience

  • Advised Shani Darden Skincare, a skincare company created by celebrity aesthetician Shani Darden, in its Series A investment round led by VMG.

  • Represented Fireclay Tile, a manufacturer of sustainable architectural tile, in a variety of matters, including its Series A investment round led by Provenance, the strategic acquisition of  Quarry Tile and an internal reorganization.
