Taking a practical approach to craft concise solutions, Charlotte Phelps focuses primarily on representing private equity sponsors, individual founders and strategic companies in complex transactions. She counsels clients on mergers and acquisitions, joint ventures, minority investments and general corporate governance matters. Charlotte has wide-ranging industry knowledge, representing clients in consumer products, manufacturing, hospitality, health care and media, among other industries. In addition, she regularly provides general commercial legal advice to clients and makes it a point to understand their day-to-day business operations and objectives.

Prior to joining Brownstein, Charlotte was an associate in the corporate department of Proskauer Rose LLP in New York. 

Representative Matters

  • Represented Pala Interactive, LLC, an online gaming technology company that provides proprietary real money and social gaming solutions on both a business-to-business (B2B) and business-to-consumer (B2C) basis, in its sale to Boyd Gaming Corporation. 
  • Represented Genesee Scientific Corporation, a premier distributor and manufacturer of high-quality life science laboratory products to the academic research and industrial life science market, in its acquisition by LLR Partners, a lower middle market private equity firm investing in technology and healthcare businesses.
  • Represented Workforce Insight, a workforce optimization consultancy that provides workforce management and human capital management advisory and technology services, it its sale to Accenture.
  • Represented Canyon Bakehouse, a gluten-free baking company, in its $205M sale to Flower Foods, one of the largest producers of packaged bakery foods in the country.
  • Represented CGI, Inc., a Nevada-based manufacturer of precision drive systems serving a broad range of automation markets with a concentration in medical robotics, in its sale to The Timken Company, a global technology leader that designs and develops engineered bearings and industrial motion products.
