Melanie Taylor advises prominent institutional real estate investors and developers as well as small businesses and nonprofit organizations in a broad range of large and complex real estate transactions in Colorado, New York and nationally. She represents both landlords and tenants in the leasing of a variety of asset classes—such as office, retail, restaurant, industrial and mixed-use—for established, redevelopment and new construction properties. Melanie also has extensive experience representing both buyers and sellers in the acquisition and disposition of office, industrial, multifamily, hospitality and mixed-use properties as well as development parcels. She negotiates a variety of documents, from leases, subleases and licenses to purchase and sale agreements, and all of the ancillary agreements related to such transactions. She also negotiates contribution, joint venture and easement agreements and condominium documents for development parcels.

Skilled at managing the full transaction process, Melanie serves as the main contact for clients and opposing counsel, leads deal teams, negotiates transaction documents and directs diligence review and ancillary and post-closing transaction matters. Clients appreciate her ability to distill legal documents into clear-cut business concerns, her focus on their goals and her collaborative approach to working with opposing counsel to close transactions while ensuring her clients remain protected.

    Recent Experience

    • Represented a global investment bank in connection with multiple acquisitions of multifamily, commercial and industrial sites, ranging from $40,000,000 to $170,000,000, and related financings, property management agreements, leaseback agreements, as well as dispositions of multifamily properties throughout the United States.

    • Provided ongoing representation to one of the world’s largest real estate developers in connection with its development of an approximately 7,000,000 square foot site that includes office, retail, residential, hotel and public space, including establishment of condominium documents, leasing 480,000 square feet, and multiple refinancings for portions of the site ranging from $270,000 to $325,000,000.

    • Represented one of New York’s largest real estate developers in connection with its over 1,500,000 square foot lease to one of the world’s largest media and technology companies across three buildings at Hudson Yards in Manhattan, and represented a top real estate developer in connection with its sale of the multifamily portion of a mixed-use development site in Denver for over $300,000.

    • Provided ongoing representation to one of New York’s largest real estate developers in connection with its pre- and post-construction lease-up of a new skyscraper in Manhattan, with leases ranging from 25,000 square feet to 200,000 square feet, as well as assisting in the ongoing administration of all leases in the building, and provided ongoing representation to a top real estate developer in connection with its lease-up and ongoing lease administration for a new construction office and retail building in Denver, and its properties outside of Colorado.

    • Provided ongoing representation to a real estate developer in connection with the negotiation of a joint venture agreement with another real estate developer, including the contribution of land and the sale of equity interest in development sites for $138,000,000 and related easements, development, license and other agreements for the approximately $1,000,000,000 redevelopment of the sites for residential, retail and public space, as well as restructuring of the agreements to make certain sites eligible for qualified opportunity zone benefits.

    • Provided ongoing representation to a publicly traded global technology company, as the owner of over 4 million square feet of space with over 200 tenants in Manhattan, as well as in its acquisition of a mixed use building in Manhattan for $2,400,000, and its leasing of 250,000 square feet of commercial and office space at a property being redeveloped in Manhattan, and a combined 460,000 square feet of office space across two other Manhattan buildings.
