When Vail Resorts sought to acquire three Pittsburgh-area resorts—Seven Springs Mountain Resort, Hidden Valley Resort and Laurel Mountain Ski Area—our team made this dream a reality. We handled all aspects of the $125 million acquisition, including real estate and hospitality matters. The result? Vail Resorts continues to deliver on its commitment to provide an “experience of a lifetime.”
Representing Workforce Insight in its Sale to Accenture
Long-standing partnerships with clients allow us to achieve transformational strategic and successful outcomes. Our relationship with Workforce Insight, a Denver-based workforce management company, is a prime example of this dynamic. The Brownstein team recently represented Workforce Insight in its sale to Accenture, a global professional services company. This transaction is the culmination of a near-decade long partnership with Workforce Insight and its founders, beginning in 2014. Guided by our nuanced insight into the company’s objectives and the motivations of the executives, our dedicated deal team advised Workforce Insight in connection with its original exit to Baird Capital Partners, its subsequent buyback therefrom, as well as three additional bolt-on acquisitions to help position the company for its eventual and most recent sale.
Securing the Future of a Social Enterprise
Jewish Family Service (JFS) sought to establish a social enterprise that would directly and positively influence the community. JFS drew on its long-term relationship with Brownstein to provide pro bono legal counsel on all aspects of its acquisition of Altius Farms, a grower of high-quality, local, chemical- and pesticide-free leafy greens. JFS Altius Farms is home to a rooftop greenhouse located in Denver’s historic Five Points neighborhood, which yields over 31,000 pounds of fresh produce each year. The fresh produce will be sold to local restaurants and grocers, as well as to stock the JFS food pantry to serve those with food insecurity. We’re at our best when we’re helping clients achieve their goals, working with an organization we believe in and giving back to the community.
Successful Sale of Denver Homebuilder After 50 Years of Representation
For nearly 50 years, our firm has supported the legal needs of Denver-based M.D.C. Holdings and also provided government relations advocacy. M.D.C. grew from its humble beginnings as a Denver homebuilder by successfully navigating varying housing market cycles to become a top-12 national builder. We were there from the beginning as a strategic partner. It’s an honor to have played such an integral role in their impressive growth culminating in M.D.C. being acquired for $4.9 billion by Sekisui House, a Japanese builder. The acquisition will make Sekisui House the fifth largest home builder in the U.S., based on the number of houses closed in 2022. Drawing on our deep relationships, the Brownstein team helped to ensure that one of our oldest clients achieved an ideal outcome.
Expanding Access to Afterschool Opportunities for Students
Committed to finding new ways to provide equitable access to afterschool enrichment activities, the Denver Public Schools (DPS) Foundation sought to acquire My Spark. They relied on Brownstein’s pro bono legal team, comprised of corporate and business attorneys, to facilitate all stages of the acquisition. This included collaboration with Gary Community Ventures, the City and County of Denver, and Mile High United Way, the program’s original creators. Collaboration among multiple parties was integral to the program’s smooth transition and to securing a funding stream to ensure eligible families with demonstrated need receive a student stipend to participate in structured afterschool programs. This acquisition allows the DPS Foundation to continue to deliver impactful resources to students and working families now and in the future.
